For the purpose of these Terms and Conditions, The term "we", "us", "our" used anywhere on this page shall mean KA8 WELLNESS PRIVATE LIMITED and KA8 MEDIA LLP, whose registered office is in Haryana & Bangalore respectively. "You", “your”, "user", “visitor” shall mean any natural or legal person who is visiting our website and/or agreed to purchase from us. The brand, company and podcast with anything to do with BRAIN BOX CATALYSTS is owned by KA8 WELLNESS PVT. LTD. & KA8 MEDIA LLP.

These Terms and Conditions govern all services, courses, webinars, podcasts, and digital content offered under the Brain Box Catalysts ecosystem - including Brain Box - The Leadership Podcast, Brain Box Gurukul, Wellness Fusion, and all associated sub-brands or microsites. By accessing or purchasing from any of these platforms, you agree to be bound by these terms.
 
Your use of the website and/or purchase from us are governed by following Terms and Conditions:

• The content of the pages of this website is subject to change without notice.

• Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials found or offered on this website for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.

• Your use of any information or materials on our website and/or product pages is entirely at your own risk, for which we shall not be liable. It shall be your own responsibility to ensure that any products, services or information available through our website and/or product pages meet your specific requirements.

For the Brain Box podcast / webinar, irrespective of whether you paid for the podcast, 

• All rights to the recorded content (audio, video & derived materials including reels, transcripts and write-ups) belong exclusively to KA8 WELLNESS PVT. LTD. and KA8 MEDIA LLP.

• We retain the right to leverage the guest name, any content from the podcast recording in either video / audio / written form at any time. We retain the right to edit, publish, distribute, or repurpose any podcast material - in full or in part - across digital, print, or promotional platforms without requiring additional permission from the guest or their organization.

• NO permission would need to be taken from the guest or guest's company for any such purposes. 

• If a guest does not wish to allow such use, they must inform us in writing within two (2) calendar days of the podcast recording date. No modifications or requests for takedown will be accepted after the episode has been published on any platform (YouTube, Spotify, RSS, LinkedIn, etc.).

For any podcast that we help other podcasters begin:

• The rights of the content would belong to the client (whoever has paid).

• However, we can use the podcast cover in any marketing material.

• If you do not wish to permit this, this needs to be explicitly mentioned in writing, within 3 days of the podcast design being finalized.

Sponsorships & Brand Collaborations

• Brands partnering or sponsoring Brain Box Podcast or any Brain Box Catalysts content agree that all creative control and final approval of the episode remain with the Brain Box team.

• Sponsorship fees once paid are non-refundable.

• We reserve the right to decline or discontinue sponsorships that conflict with our brand ethos, values, or audience expectations.

Due to the digital nature of our offerings, all course enrollments, digital downloads, and webinar bookings are non-refundable.

Rescheduling of cohort sessions or consulting calls may be allowed at our discretion if requested at least 24 hours in advance.

In case of unforeseen cancellations by us, participants will receive an alternate date or access to the recorded session.

Confidentiality & Non-Disclosure

• Both parties agree to maintain strict confidentiality regarding proprietary or business-sensitive information shared during the engagement.

• KA8 WELLNESS PRIVATE LIMITED and KA8 MEDIA LLP will not use or disclose such information publicly without written consent, provided all dues have been cleared.

• Similarly, the client or guest agrees not to share internal strategies, pricing, templates, or proprietary methodologies shared during consultations, courses, or recordings.

• If there is a project based contract, any explicitly documented confidential information that you share would not be used by KA8 WELLNESS PVT. LTD. or KA8 MEDIA LLP in the public domain without your written permission,  either during / after the termination of the contract, as long as all the dues have been settled. 

• In case of personal branding or founder branding clients, the contract would begin from when the first call or meeting or the first podcast initiates, whichever is earlier. All client names can be used as references / citations on our website / posts without taking explicit approval. If a client does not wish to give us this right, they have to sign an NDA with us explicitly stating this BEFORE the first invoice is raised. 

• Our website contains material which is owned by or licensed to us. This material includes, but are not limited to, the design, layout, look, appearance and graphics. Any form of  reproduction is prohibited other than in accordance with the copyright notice, which forms part of these terms and conditions.

• All trademarks reproduced in our website which are not the property of, or licensed to, the operator are acknowledged on the website.

• Unauthorized use of information provided by us shall give rise to a claim for damages and/or be a criminal offense.

• From time to time our website may also include links to other websites. These links are provided for your convenience to provide further information.

• You may not create a link to our website from another website or document without KA8 WELLNESS PRIVATE LIMITED or KA8 MEDIA’s prior written consent.

AI & Automation Disclaimer

• Some of our services, including PR distribution, personal branding content, and consulting, may use AI tools or automated systems for optimization and content generation.

• By engaging with us, you acknowledge and consent to the reasonable use of such technologies, in accordance with data privacy norms.

• Any dispute arising out of use of our website and/or purchase with us and/or any engagement with us is subject to the laws of India.

• We, shall be under no liability whatsoever in respect of any loss or damage arising directly or indirectly out of the decline of authorization for any Transaction, on Account of the Cardholder having exceeded the preset limit mutually agreed by us with our acquiring bank from time to time.

Any disputes arising out of or in connection with this agreement shall be governed by the laws of India and subject exclusively to the jurisdiction of the courts in Bangalore, Karnataka.
